Terms of Service

1. Acceptance of Terms

By accessing or using OCULAR-OS (the "Service"), operated by Ocular OS ("we", "us"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Eligibility and Account Approval

Access to the Service requires an account. All new accounts are created in a Pending state and must be explicitly approved by an administrator before they may access any functionality. We reserve the right to refuse, suspend, revoke, or terminate any account at any time, with or without notice, at our sole discretion.

3. Intellectual Property

The Service, including its software, design, text, graphics, logos, and underlying technology, is owned by Ocular OS and its licensors and is protected by copyright, trademark, and other laws. Except for the limited rights granted in these Terms, no rights are granted to you.

4. User-Generated Content

You retain ownership of the content you upload or create in the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and adapt that content solely as necessary to operate, secure, and improve the Service and to perform the actions you request (for example, publishing to a connected third-party platform).

You represent that you own or have the necessary rights to your User Content and that it does not infringe any third party's rights or violate any law.

5. Acceptable Use

You agree not to:

  • violate any law, regulation, or third-party right;
  • upload malware, exploit code, or otherwise interfere with the Service;
  • attempt to gain unauthorized access to accounts, systems, or data;
  • scrape, resell, or make derivative services from the Service without permission;
  • publish content that is defamatory, harassing, hateful, sexually exploitative, or otherwise unlawful;
  • misrepresent your identity or affiliation.

6. Third-Party Platforms and APIs

The Service uses third-party APIs (including Google/YouTube and Canva) to perform actions you initiate. Your use of those platforms is subject to their own terms and policies, including the Google API Services User Data Policy and the YouTube Terms of Service. We are not responsible for third-party services, and we may suspend integrations at any time.

You are responsible for ensuring your use of any content published through the Service complies with the destination platform's rules, including copyright and community guidelines.

7. Fees

The Service may be offered free of charge, on a subscription basis, or under a private commercial agreement. Fees, when applicable, are described at the point of sale or in a separate agreement. Non-payment may result in suspension.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT WILL BE PRESERVED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCULAR OS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR AGGREGATE LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100.

10. Indemnification

You agree to defend, indemnify, and hold harmless Ocular OS from any claim, loss, or expense (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, or your violation of these Terms.

11. Termination

We may suspend, revoke, or terminate your access at any time, with or without notice, including for violation of these Terms, security concerns, non-payment, or at our discretion. On termination, your right to use the Service ceases immediately; sections that by their nature should survive termination will survive.

12. Governing Law and Venue

These Terms are governed by the laws of the jurisdiction in which Ocular OS is established, without regard to conflict-of-laws principles. Any dispute will be resolved exclusively in the competent courts of that jurisdiction, and you consent to their personal jurisdiction and venue.

13. Changes

We may modify these Terms at any time. Material changes will be indicated by the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
